Under the U.S. tax code, only when a foreign corporation, foreign trust, or nonresident alien individual establishes permanent residence in the United States will it be subject to U.S. capital gains taxes on the same way as domestic taxpayers. For a corporation, permanent residence would be a US office or warehouse. Capital gains realized by foreign corporations and other nonresidents “not engaged in trade or business in the United States” are exempt from tax under IRC Section 871 and IRC Section 881 and IRC Section 897(c)(3). Additionally, U.S. Treasury Regulations Section 864-2(C)(1) and (2) provides an exception for what involves being “engaged in a trade or business in the United States”. . Under U.S. regulations, trading by a nonresident through a U.S. stockbroker, independent agent, or employee is not considered to cause the nonresident “engages in a trade or business in the United States”.
Publicly traded equity gains (from stocks and bonds listed on the NYSE, NASDAQ, or AMEX) accruing to an offshore corporation are exempt from U.S. capital gains tax under the Articles of Incorporation. of the Internal Revenue Tax Code, but “U.S. shareholders” may be subject to tax (indirectly) if the offshore company is a “controlled foreign corporation (CFC)” (i.e. “more than 50% of voting and non-voting shares are held by US SHAREHOLDERS”). See IRC Articles 951-958. See in particular Section 951(b) of the Code for the definition of US SHAREHOLDERS.
US taxpayers who use tax havens take on more risk (usually) than a non-resident alien (not a US citizen). Whether a US citizen taxpayer will have a tax liability on offshore company profits depends on many things – including the type of income produced by the company (i.e., subpart F or non-subpart F) and the number of shares in the company you own, and whether the offshore company is a CFC – as defined in the Internal Revenue Code in Sections 957 and 958.
